1. Acceptance of Terms

By downloading, installing, or using Momento ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Momento is a photo search application that uses on-device artificial intelligence to enable natural language search of your photo library. The App processes photos locally on your device and does not transmit photo data to external servers.

3. License

Subject to your compliance with these Terms, Sumlane UG grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal, non-commercial purposes.

4. Subscriptions and Purchases

Momento offers both free and paid tiers. The paid tier ("Momento Pro") is available via subscription or one-time lifetime purchase through the Apple App Store.

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
• Payment is charged to your Apple ID account at confirmation of purchase.
• You can manage and cancel subscriptions in your Apple ID account settings.
• No refunds are provided for partial subscription periods.

5. User Responsibilities

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms.
• Not attempt to reverse engineer, decompile, or disassemble the App.
• Not use the App to infringe on the rights of others.
• Not redistribute, sublicense, or resell access to the App.

6. Intellectual Property

The App, including all content, features, and functionality, is owned by Sumlane UG and is protected by international copyright, trademark, and other intellectual property laws. The AI models used in the App are based on open research (MobileCLIP) and are used under their respective licenses.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SUMLANE UG DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SEARCH RESULTS ARE GENERATED BY AI AND MAY NOT ALWAYS BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMLANE UG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APP.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Your continued use of the App after such changes constitutes acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Düsseldorf, Germany.
